Terms of Service

1. Parties and agreement

These Terms of Service ("Terms") govern the relationship between TW Consulting (trading as WebForge Studio), ul. Romańska 1/3, 01-451 Warszawa, Poland, NIP: 5272599137 ("we", "us", "the Provider") and the client ("you", "the Client"). By accepting a quote or making a payment, you agree to these Terms.

2. Services

We provide:

  • Web Design — design and development of websites, delivered as agreed in the project brief/quote.
  • AI Assistants — setup, hosting, and maintenance of AI assistants (voice, chatbot, booking, sales) for customer and call handling.
  • Maintenance Plans — ongoing hosting, updates, and support services on a monthly subscription basis.

The specific scope, deliverables, timeline, and price for each project are agreed in writing (email or signed proposal) before work begins.

3. Payment terms

  • Website projects: 50% deposit required before work starts. 50% balance due before the site goes live. The site is not transferred to production hosting until the balance is settled.
  • AI assistant setup: Full setup fee due before setup begins. Monthly subscription invoiced in advance.
  • Monthly services: Invoiced monthly, due within 7 days of invoice date.

Payments accepted by bank transfer (SEPA) and card. Prices are in EUR. For Polish clients, PLN equivalents are available. All prices are net — EU VAT rules apply where relevant.

4. Delivery and client obligations

Delivery timelines (7/14/21 days) begin when we receive: (a) the signed/accepted proposal, (b) the deposit payment, and (c) all necessary content and materials (texts, images, logo, access credentials).

Delays caused by the Client (late content delivery, prolonged approval cycles) extend the delivery timeline accordingly. We are not liable for missed deadlines due to Client delays.

5. Revisions and approvals

Each package includes the number of revision rounds specified in the proposal (typically 2). A revision round is one consolidated set of feedback per deliverable. Changes that fall outside the agreed brief may require a separate quote. Approval of a design stage (mockup, staging site) in writing (email) signals acceptance and triggers the next stage.

6. Cancellation and refunds

  • Before design delivery: Full refund of deposit.
  • After design delivery, before development: Refund of deposit minus €119 for design work delivered.
  • After development starts: No refund of deposit. Work completed to date is billable.
  • Monthly services: Cancel with 30 days notice. No refund of the current billing month.

Refunds are processed within 14 business days.

7. Intellectual property

Upon receipt of final payment, the Client receives a perpetual, non-exclusive licence to use, display, and host the website delivered under the project. The Client may host the site with any provider of their choice.

All frameworks, reusable components, build tools, and templating systems developed or utilised by WebForge Studio remain the intellectual property of WebForge Studio — whether created specifically for the project or pre-existing. Third-party assets (fonts, stock images, plugins) are subject to their respective licences.

We retain the right to display the project in our portfolio and marketing materials unless the Client requests otherwise in writing.

8. Hosting and maintenance

Year 1 hosting is included in all website packages. After year 1, the care plan (hosting, SSL, backups, security monitoring, 1h of minor updates/month) is available monthly (€39/month) or annually (€390/year). If the Client chooses to migrate to their own hosting, we provide one free migration. We are not responsible for downtime or data loss caused by third-party hosting providers after migration.

9. Limitation of liability

Our total liability to you for any claim arising from or related to our services shall not exceed the total fees paid by you in the 12 months preceding the claim. We are not liable for indirect, consequential, or loss-of-profit damages. We are not liable for third-party service outages (hosting, APIs, payment processors, Google Calendar, etc.).

10. Confidentiality

We treat all business information shared during a project as confidential and do not disclose it to third parties, except as required to deliver the service (e.g., sharing access with a hosting provider) or by law.

11. Governing law and disputes

These Terms are governed by Polish law. Any disputes shall be resolved first by negotiation. If negotiation fails within 30 days, disputes shall be submitted to the competent Polish court.

12. Changes to Terms

We may update these Terms for future projects. The Terms in effect at the time a project was agreed apply to that project. We will notify clients of material changes to ongoing subscription services with 30 days notice.
